Agreement

These Terms of Service (the "Terms") form an agreement between Zevo, Inc. ("Zevo", "we") and the organisation that subscribes to, engages, or is granted access to the Service ("Customer", "you") — a city or county licensing the Software, or a real estate developer engaging the Planning services. By accessing the Service, signing an Order, or authorising a user, you accept these Terms. If you are accepting on behalf of an organisation, you confirm you have authority to bind it.

Accounts and users

You are responsible for the accuracy of account information, for maintaining the confidentiality of credentials, and for the activity of your users. Notify us promptly at hello@getzevo.ai of any suspected unauthorised access. Accounts are for named individuals; credentials must not be shared. See Authentication on the Security page for the controls available, including SSO and MFA.

Fees and invoicing

Fees are set out in the Order. Customers in the United States are quoted and invoiced in US dollars and customers in Canada in Canadian dollars, exclusive of applicable taxes. Invoices are payable within thirty days unless the Order states otherwise.

Fees are non-refundable except where required by law or expressly stated in an Order. How fees are set and invoiced for each offering is described in the two sections that follow.

City Hall subscriptions

The Software is licensed to a city or county under one annual licence for its jurisdiction, priced per resident as stated in the Order, for an initial three-year term with two one-year options at the same rate unless the Order provides otherwise. Residents are counted at the start of the licence and at each renewal, and the price is fixed within the term. The licence is not priced per user, per application, or on any share of fees or time saved.

Before a licence, a jurisdiction may receive compliance reports, free of charge, on applications filed in it through the Planning services, and may run a pilot under a separate pilot agreement of up to six months, priced as that agreement states.

Where a city endorses or mandates the applicant pre-check, applicants pay the pre-check fee at upload, unless the city absorbs part of it or grants free pre-checks under its licence. An applicant using the pre-check accepts these Terms for that use, and its results are an aid to completeness, not a decision of the city.

Developer planning services

Planning services are engaged per application or deliverable, at a fixed fee confirmed for the site in the Order before work begins. The fee does not grow with comment rounds. You authorise Zevo and its registered professional planners to act as your agent before the authorities named in the Order, for the applications it covers.

A filing is invoiced in four parts: 40% at the draft package, 20% at submission, 20% at completeness, and 20% at the final re-submission. A filing at or under the threshold stated in the Order is invoiced at submission, and other deliverables on delivery. Outcomes delivered in a month appear on one statement. There is no deposit, no hourly billing, no success fee, and no platform fee, and nothing is invoiced on the authority's decision.

Re-submissions on a project that is not materially changed are included for 24 months from submission. A material change to the project, its site, or the instruments it needs may require a new quote.

Customer data

You retain all right, title, and interest in Customer data. A city's applications, review record, and decisions belong to the city, and Zevo processes them on its instructions. You grant Zevo a limited, non-exclusive licence to host, process, transmit, and display Customer data solely to provide and support the Service and to meet legal obligations; when Zevo files an application for a developer, the filing and its compliance report are provided to the reviewing authority as part of that filing. You are responsible for having the rights necessary to submit Customer data, including any third-party drawings or reports. How we handle it is described in the Privacy Policy, and in more detail on the Security page.

Acceptable use

You will not: use the Service to violate law or the rights of others; attempt to breach, probe, or circumvent security or access controls, except through responsible disclosure on the Security page; reverse engineer, resell, or provide the Service to a third party outside your organisation, except to your professional advisers acting on your project; upload malware, or content you lack rights to; or use the Service to build a competing product or to benchmark it for publication without our written consent.

Confidentiality

Each party will protect the other's confidential information with at least reasonable care, use it only to perform under these Terms, and disclose it only to personnel and advisers with a need to know who are bound by equivalent obligations. These duties do not apply to information that is public, independently developed, or lawfully received from a third party, and do not prevent disclosure required by law.

Intellectual property

Zevo and its licensors own the Service, including the regulatory corpus models, software, and all improvements. Nothing in these Terms transfers ownership of the Service to you. Subject to payment, you may use Output for your own purposes: a city in its review and its records, a developer in its projects and in filings with authorities.

Professional responsibility

In the Software, findings are decision support: the city's planners review each finding and make every decision, and the city remains responsible for its decisions. In the Planning services, Zevo's registered professional planners are responsible for the professional opinions they sign, under the rules of their professional bodies. In either case, Zevo does not guarantee that an application will be approved, that approval will occur within any period, or that Output identifies every applicable requirement; the decision on an application rests with the competent authority.

AI findings support professional judgement; they do not replace it. Regulatory interpretation is judgement-dependent, municipal practice varies, and source materials change. Output from the Software is not a planning opinion, and outside the Planning services expressly engaged, Zevo does not provide legal, architectural, or engineering advice. You remain responsible for the accuracy of the information you provide and for retaining other qualified professionals — architects, engineers, lawyers — where required.

Warranties and disclaimers

Each party warrants that it has the authority to enter this agreement. Zevo warrants that it will provide the Software with reasonable skill and care, and the Planning services in a professional manner consistent with the standards of the planning profession. Except as expressly stated, the Service and Output are provided "as is" and Zevo disclaims all other warranties, including merchantability, fitness for a particular purpose, and non-infringement, to the extent permitted by law.

Limitation of liability

To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or anticipated savings, even if advised of the possibility. Each party's aggregate liability arising out of or related to these Terms is limited to the fees paid or payable by you to Zevo in the twelve months preceding the event giving rise to the claim. These limits do not apply to your payment obligations, to either party's liability for fraud or wilful misconduct, or to liability that cannot lawfully be limited.

Indemnification

You will defend and indemnify Zevo against third-party claims arising from Customer data or from your use of the Service in breach of these Terms, to the extent the law applicable to you permits. Zevo will defend and indemnify you against third-party claims that the Service, as provided by Zevo, infringes a Canadian or United States intellectual property right, provided you notify us promptly and allow us to control the defence.

Term and termination

These Terms run for as long as any Order is in effect; licence and pilot terms are those stated in the Order, and Planning services end when the engaged outcomes are delivered. Either party may terminate for material breach on thirty days' written notice if the breach is not cured. On termination, your access ends, fees for outcomes delivered and periods served become payable, and we will make Customer data available for export for thirty days before deletion in accordance with the Privacy Policy.

Changes

We may modify the Service to improve it, and may update these Terms. Where a change materially reduces functionality or your rights, we will give at least thirty days' notice; continued use after the effective date constitutes acceptance.

Governing law

These Terms are governed by the laws of the Province of British Columbia and the federal laws of Canada applicable there, without regard to conflict-of-laws rules, and the courts of British Columbia have exclusive jurisdiction, with venue in Vancouver. Where an Order with a city, county, or other public body specifies the law and courts of that body's jurisdiction, the Order prevails.

General

These Terms, together with any Order, are the entire agreement between the parties on this subject. If a provision is unenforceable, the remainder stands. Neither party may assign without the other's consent, except to a successor in a merger or sale of substantially all assets. Failure to enforce a provision is not a waiver. Notices must be in writing.
